1. Agreement to These Terms
These Terms of Service (“Terms”) form an agreement between you and Zblit Inc. (“Zblit,” “we,” “us,” or “our”). By creating an account, accessing the Zblit website or apps, posting or accepting a task, or otherwise using Zblit’s services, you agree to these Terms and any policies that are expressly incorporated into them.
If you do not agree, do not use the services. If applicable law gives you rights that cannot be waived or limited by contract, these Terms do not take those rights away.
2. What Zblit Is
Zblit provides a technology marketplace that allows people seeking help with everyday tasks (“Users”) to connect with people who make themselves available to perform tasks (“Contractors”).
Zblit is not the person performing the task. Unless Zblit expressly states otherwise for a specific service, the task itself is performed by the Contractor who accepts it. Zblit provides the platform, task workflow, communications, payment features, support tools and related technology used to facilitate the transaction.
Zblit does not guarantee that a particular task will be accepted, that a Contractor will be available at a particular time, or that every requested service can lawfully or safely be performed.
3. Eligibility and Accounts
You must be legally capable of entering into a binding agreement under the laws that apply to you. You are responsible for providing accurate account information and keeping your login credentials secure.
You may not impersonate another person, create an account using information you are not authorized to use, allow unauthorized persons to use your account, or use Zblit for fraudulent, unlawful or abusive purposes.
You are responsible for activity that occurs through your account unless the activity resulted from a security failure for which Zblit is legally responsible.
4. Users and Task Requests
Users are responsible for providing enough accurate information for a Contractor to understand the requested task, including the service location, timing, task description and any material conditions or hazards that could reasonably affect performance or safety.
A User must not request illegal services, dangerous activities that are not appropriate for the platform, or work requiring a licence, permit or certification unless the person performing that work is legally authorized to do so.
Posted tasks may expire, be cancelled, remain unaccepted, or otherwise become unavailable in accordance with the rules shown in the app.
5. Independent Contractors
Contractors use Zblit to view task opportunities, choose when to make themselves available and decide whether to accept available tasks. Contractors are responsible for performing accepted tasks with reasonable care, complying with applicable laws, and maintaining any licence, permit, registration, insurance or other authorization legally required for the services they choose to provide.
The parties intend Contractors to provide services as independent contractors rather than as employees of Zblit. Contractors are not entitled to employee wages, benefits, vacation pay or other employment entitlements from Zblit solely because they use the platform. However, a contractual label does not override applicable law. Legal status depends on the actual working relationship and the law that applies in the circumstances.
6. Contractor Taxes, Expenses and Business Obligations
Independent Contractors are responsible for determining, reporting and paying taxes and statutory amounts that apply to earnings they receive from tasks completed through Zblit. This may include income tax, Canada Pension Plan contributions and GST/HST registration, collection or remittance obligations where applicable.
Zblit does not generally withhold income tax, Canada Pension Plan contributions or other payroll deductions from amounts paid to an Independent Contractor unless Zblit is required to do so by applicable law.
Independent Contractors are responsible for maintaining records of their earnings and business expenses and for determining whether they must register for a business number, GST/HST account, licence, permit, insurance or other authorization relating to the services they provide. Contractors are also responsible for their own tools, equipment, transportation and other business expenses unless Zblit expressly agrees otherwise.
Tax and registration requirements can vary based on a Contractor’s circumstances and may change over time. Zblit does not provide tax, accounting or legal advice. Contractors should consult the Canada Revenue Agency and, where appropriate, a qualified tax or legal professional regarding their individual obligations.
7. Applicable Digital Platform Worker Rights
Certain Zblit assignments may fall within Ontario’s Digital Platform Workers’ Rights Act, 2022 or other worker-protection legislation. This may include qualifying delivery or courier assignments offered through the platform. Those statutory protections can apply regardless of whether a worker is otherwise classified as an employee or an independent contractor.
Where such legislation applies, Zblit will comply with non-waivable requirements concerning matters such as required worker information, minimum compensation for covered work assignments, recurring pay periods and pay days, protection of tips or gratuities, notice or reasons relating to removal from platform access, record keeping and Ontario dispute jurisdiction. Nothing in these Terms is intended to waive or reduce any right a worker has under applicable law.
8. Task Acceptance and Performance
A task becomes assigned when a Contractor successfully accepts it through the Zblit workflow. Users and Contractors should use the in-app task details and messaging tools to communicate information reasonably necessary to complete the task.
Contractors should not start a task until they have arrived at the appropriate service location and the Zblit workflow permits the task to begin. Contractors may decline or stop work where they reasonably believe a task is unsafe, unlawful, materially different from what was described, or requires authorization they do not possess.
Users must provide reasonable and safe access to the task location and must not subject Contractors to harassment, threats, discrimination, violence or unsafe conditions.
9. Pricing, Payment Authorization and Stripe
Prices, fees and estimated amounts are shown through the Zblit App before a User confirms a paid task. Zblit may include a platform or service fee in the amount payable by the User.
Where a transaction is an “internet agreement” or other consumer agreement governed by Ontario consumer-protection law, Zblit will provide the disclosures, opportunity to review or correct information, copy of the agreement and cancellation rights required by law. Any mandatory consumer right prevails over inconsistent language in these Terms.
Payments are initiated through Zblit and are processed by Stripe. Before a task is posted or confirmed, Zblit may request an authorization on the User’s payment method for an amount that covers the expected task cost and any additional amount disclosed in the app for possible overtime or other permitted adjustments.
When a task is completed, Zblit may capture the final amount actually due under the task rules and release the unused portion of the authorization. The time it takes for a released authorization to disappear from a statement depends on the card issuer or financial institution.
If additional task time is billable, it is calculated in the increments and up to the maximum disclosed through Zblit. The User will not be charged more than the permitted amount without any additional authorization required by law or the payment system.
10. Contractor Earnings and Payouts
Contractor earnings shown in the app may remain pending until the applicable task-completion, confirmation, review or release process is complete. Payouts may be delayed or adjusted where a task is disputed, refunded, reversed, under review, affected by suspected fraud, or otherwise subject to a lawful hold.
Contractors are responsible for ensuring that payout information they provide is accurate and that they satisfy any requirements imposed by the applicable payment or payout provider.
11. Cancellations, Overtime, Refunds and Disputes
Cancellation and payment consequences depend on the stage of the task. If a User cancels before work has started, Zblit will generally release the unused payment authorization, subject to any charge that was clearly disclosed and lawfully applicable. If a User cancels after the Contractor has started the task, a minimum task charge and applicable Zblit fee may apply as disclosed through the service.
Where task time exceeds the booked period, eligible overtime may be billed in the increments and up to the maximum permitted by the app.
Users may report issues and request support through Zblit. Zblit may review task records, messages, proof-of-completion materials, payment information and other relevant information when evaluating a complaint, refund or dispute. Depending on the circumstances, Zblit may approve no refund, a partial refund or a full refund, subject to applicable law.
Zblit may temporarily hold Contractor funds while a dispute or review is pending.
12. Location Features
Zblit uses location information to support nearby-task matching, arrival and active-task features. When a Contractor chooses to go online or has an active task, the Contractor App may collect device location, including in the background where the required permission has been granted.
Users may be shown an approximate representation of an assigned Contractor’s location during relevant parts of the service flow. Location information can be delayed, inaccurate or unavailable because of device settings, GPS conditions, connectivity or other technical factors, and should not be treated as an emergency tracking system.
13. Communications, Photos, Reviews and Other Content
Zblit may allow Users and Contractors to send messages, upload task photos or proof-of-completion images, submit notes, and provide ratings or reviews (“User Content”). You remain responsible for the User Content you submit.
You must not upload content that is unlawful, threatening, abusive, fraudulent, misleading, invasive of another person’s privacy, or that infringes another person’s rights.
You grant Zblit a non-exclusive licence to host, store, reproduce, display and process User Content only as reasonably necessary to operate, secure, support and improve the services, resolve disputes, comply with law and enforce these Terms. This does not transfer ownership of your User Content to Zblit.
14. Safety and Prohibited Conduct
Users and Contractors must act lawfully and respectfully. You may not use Zblit to facilitate fraud, theft, harassment, violence, exploitation, illegal goods or services, or conduct that creates an unreasonable risk of harm.
Do not use Zblit for emergency services. If there is an immediate threat to health or safety, contact the appropriate emergency service.

15. Third-Party Services
Zblit relies on third-party services for functions such as payment processing, cloud infrastructure, authentication, maps, notifications and app distribution. Those third parties may have their own terms and privacy practices.
Zblit is not responsible for a third party’s separate service except to the extent applicable law makes Zblit responsible.
16. Suspension and Termination
You may stop using Zblit at any time. Zblit may restrict, suspend or terminate access where reasonably necessary to protect users or the platform, investigate suspected fraud or abuse, comply with law, address non-payment, enforce these Terms, or respond to conduct that creates safety or security concerns.
Where appropriate and legally required, Zblit may provide notice or an opportunity to address the issue. Certain provisions of these Terms that by their nature should continue after termination—such as payment obligations, dispute provisions, intellectual-property rights and limitations of liability—will continue to apply.
17. Zblit Intellectual Property
The Zblit name, logos, software, website, app interfaces, designs, text, graphics and other materials supplied by Zblit are owned by Zblit or its licensors and are protected by applicable intellectual-property laws.
You may use Zblit only for its intended purposes. You may not copy, sell, reverse engineer, interfere with, scrape, misuse or commercially exploit the platform except where applicable law expressly permits it.
18. Service Availability and Disclaimers
Zblit works to provide a reliable marketplace, but the services may occasionally be unavailable, interrupted, delayed or affected by circumstances outside our control. We do not guarantee continuous availability, that every task will be accepted, or that every User or Contractor will meet another party’s expectations.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZBLIT’S TECHNOLOGY SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED. NOTHING IN THESE TERMS EXCLUDES A WARRANTY, CONDITION, GUARANTEE OR OTHER RIGHT THAT CANNOT LEGALLY BE EXCLUDED.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Zblit will not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of the platform, including lost profits, lost business opportunities or loss of data, where such exclusion is legally permitted.
Zblit does not exclude or limit liability where doing so would be prohibited by law, including liability that applicable consumer-protection law does not allow to be waived.
Because Contractors perform tasks independently through the marketplace, Zblit is not responsible for a Contractor’s acts or omissions merely because the parties connected through Zblit, except to the extent the law makes Zblit responsible.
20. Your Responsibility for Claims
To the extent permitted by law, if your unlawful conduct, intentional misconduct, infringement of another person’s rights, or material violation of these Terms causes Zblit to face a third-party claim or loss, you agree to be responsible for the resulting reasonable losses and costs to the extent legally attributable to your conduct.

Zblit’s collection, use and disclosure of personal information is described in our Privacy Policy. Please review it together with these Terms.
22. Changes to Zblit or These Terms
Zblit may update the services and these Terms as the platform, business, technology or legal requirements change. When we make a material change, we may provide notice through the website, apps or another reasonable method and update the “Last updated” date.
Changes will not apply retroactively where prohibited by law. Your continued use after an updated version takes effect constitutes acceptance only to the extent permitted by applicable law.
23. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.
Subject to any mandatory rights or jurisdiction that applicable law gives you, disputes relating to these Terms or Zblit’s services may be brought before the courts of Ontario.
24. General Terms
If a provision of these Terms is found unenforceable, the remaining provisions continue in effect to the extent permitted by law. A failure by Zblit to enforce a provision immediately does not waive that provision.
You may not transfer your account or your rights under these Terms without Zblit’s consent where consent is legally permitted to be required. Zblit may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition or sale of its business, subject to applicable law.
These Terms, together with policies expressly incorporated by reference and any task-specific terms shown through the service, form the agreement governing your use of Zblit.
